Financially restructuring a company is a world that few of us walk in.
From the sound of it, mercifully. A lot of long sleepless nights for the few involved.
Debt restructuring appears to be words retailers are becoming more familiar with than the words associated with profits.
A business debt negotiation begins when a company reaches out to their creditors and attempt to restructure debts into more manageable installments.
Creditors are open to this approach because, simply put, they want to be re-paid. They realize that cash flow problems are not uncommon in business, they work with companies so that they may continue to operate and pay back debt.
The company involved is usually represented by a third party specializing in business debt management, such as a debt consolidation company. These representatives are trained financial negotiators.
One such company that appears to specialize in that complex, delicate and company survival process is Chilmark Partners.

Fascinating.
We’ve seen and heard echoes of the so-called retail apocalypse for some time.
On film.
The team at amazon.com relates, “With Nokia’s innovations Finland was steered out of depression and into leadership of the cell phone world. What were the decisions that led to the demise of one of the most successful technological businesses of modern times? The company was viewed with national pride by Finns, as its mobile phone business made it by far the largest worldwide company and brand from Finland.
At its peak in 2000, during the telecoms bubble, Nokia alone accounted for 4% of the country’s GDP, 21% of total exports, and 70% of the Helsinki Stock Exchange market capital.”
The good news is that Nokia appears to have re-invented itself surviving turbulent times.
Others are not so fortunate.
The news and information source kiplinger.com informs, “Retailers across the country are working diligently to ensure that their businesses aren’t the next victim of the coronavirus. The e-commerce revolution might have brought the industry to its knees, but it seems like COVID-19 is ready to deal the final blow – bankruptcy – to several retail stocks.”
They list a number of companies who are in financial trouble including Neiman Marcus, Ann Taylor, LOFT, Lane Bryant, Justice, JC Penney, L Brands, Rite Aid, Capri Holdings, Gap, GNC Holdings, Macy’s, Children’s Place, GameStop and others, keeps growing.
Others like J.Crew.
J.Crew Group, Inc., is an American multi-brand, multi-channel, specialty retailer.
The company offers an assortment of women’s, men’s, and children’s apparel and accessories, including swimwear, outerwear, lounge-wear, bags, sweaters, denim, dresses, suiting, jewelry, and shoes.
As of August 2016, it operates more than 450 retail stores throughout the United States.
The company conducts its business through retail, factory, crew cuts, Madewell stores, catalogs, and online. On April 30, 2020 the company announced it would apply for bankruptcy protection amidst the COVID-19 pandemic.
Sad. It wasn’t always that way.
J.Crew won myriads of loyal shoppers well into the 2010s by offering well-made staples like coats, pencil skirts, dresses, and suit jackets with coolness and style.
This penchant for exceptional branding allowed J.Crew to stand out from The Gap and other competitive chains.
As reported on May 4, 2020, at Fortune Magazine, “J.Crew Group finally found a new CEO in January in Jan Singer, a former executive at Nike and Victoria’s Secret, filling a corner office that had been empty for 14 months. Its namesake brand, once enormously successful but in decline for years, seemed to finally be stabilizing if not quite thriving.”
Then the pandemic hit. What timing.
Honey? I got the job.
Next day.
America is shutting down.
On May 4, 2020, the global business news and information source foxbusiness.com posted, “J. Crew Group Inc filed for bankruptcy protection on Monday with a plan to hand over control to lenders, adding to a list of brick-and-mortar retailers pushed to the brink by widespread store closures in response to the COVID-19 pandemic.
The New York-based chain, known for preppy clothing at times worn by former first lady Michelle Obama, filed for bankruptcy in a Virginia federal court with an agreement to eliminate its roughly $1.65 billion of debt in exchange for ceding ownership to creditors. It is the first big retailer to fail during the pandemic.”
We hate seeing a retailer fight for its very life from a distance but there is a sort of educational curiosity viewing it up close.

NEW YORK, May 4, 2020 /PRNewswire/ — J.Crew Group, Inc. (“J.Crew Group” or the “Company”) today announced it has reached an agreement with its lenders holding approximately 71% of its Term Loan and approximately 78% of its IPCo Notes, as well as with its financial sponsors, under which the Company will restructure its debt and deleverage its balance sheet, positioning J.Crew and Madewell for long-term success.
Under the terms of the Transaction Support Agreement (“TSA”), the Company’s lenders will convert approximately $1.65 billion of the Company’s debt into equity.
To facilitate the restructuring contemplated by the TSA, the parent company of J.Crew Group, Inc., Chinos Holdings, Inc. and certain affiliates, have filed voluntary petitions for relief under Chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court for the Eastern District of Virginia.
The Company has secured commitments for a debtor-in-possession (“DIP”) financing facility of $400 million and committed exit financing provided by existing lenders Anchorage Capital Group, L.L.C., GSO Capital Partners and Davidson Kempner Capital Management LP, among others. Subject to Court approval, the DIP financing, combined with the Company’s projected cash flows, is expected to support its operations during the restructuring process.
As part of the TSA, Madewell will remain part of J.Crew Group, Inc. Libby Wadle will continue in her role as CEO of Madewell.
